1. Services Dedalo Agency provides content creator management services including marketing, traffic acquisition, community management, content strategy, brand development, and analytics.

The specific services, as well as the responsibilities and obligations of both Dedalo Agency and the creator/model, will be detailed in individual service agreements signed by both parties. In case of conflict between these general Terms of Service and an individual agreement, the provisions of the individual agreement shall prevail, unless expressly stated otherwise.

Dedalo Agency acts exclusively as a management and strategic support services provider. We are not producers, editors, or distributors of content, and we do not assume ownership or editorial responsibility for content created by models/creators.

2. Eligibility and Creator/Model Obligations a) You must be at least 18 years of age to use our services. By using our services, you represent and warrant that you meet this age requirement and possess all legal documentation required by the platforms where you operate (including OnlyFans and Fansly) to verify your age and identity, in accordance with applicable regulations.

b) The creator/model represents and warrants that: - They are the sole owner of all intellectual property rights to the content they produce (or possess valid licenses granted by all necessary third parties). - Their content strictly complies with the Terms of Service and Community Guidelines of OnlyFans, Fansly, and any other platform where they operate, including prohibitions on illegal, non-consensual content or content that violates third-party rights. - They will not engage in activities that could result in the suspension, termination, or restriction of their account on OnlyFans, Fansly, or other platforms. - All information provided to Dedalo Agency is truthful, complete, and up-to-date.

3. Account Responsibility You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use or any indication of account compromise.

4. Intellectual Property All content, trademarks, and materials on this website are the property of Dedalo Agency or its licensors. You may not reproduce, distribute, or create derivative works without prior written consent.

5. Limitation of Liability Dedalo Agency shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services. Our total liability shall not exceed the fees paid by you in the twelve (12) months preceding the claim.

Additionally, Dedalo Agency shall not be liable for: - Economic losses, loss of income, chargebacks, forced refunds by platforms, or unreceived income resulting from the creator/model's actions or decisions made independently. - Loss, theft, leakage, or unauthorized use of content (photos, videos, messages) resulting from the creator/model's interaction with third parties not authorized by the Agency. - Reputational damage, account blocks, suspensions, or sanctions arising from violations of platform Terms of Service caused by the creator/model's actions or third parties with whom they interact. - Any loss arising from unilateral changes in policies, algorithms, payment percentages, or content rules of OnlyFans, Fansly, or other third-party platforms. - Any expense, fine, or legal consequence arising from unauthorized agreements between the creator/model and third parties.

6. Termination Either party may terminate the service agreement with 30 days' written notice. Upon termination, all obligations regarding confidentiality and intellectual property shall survive.

7. Governing Law and Dispute Resolution These terms shall be governed in accordance with the laws of Spain. Any dispute arising from or in connection with these Terms of Service shall be submitted to the Courts and Tribunals of Spain, with express waiver of any other jurisdiction that may apply.

8. Interactions with Third Parties and Disclaimer a) The creator/model acknowledges and accepts that Dedalo Agency has no control over the decisions, actions, or omissions of the creator/model regarding third parties not authorized by the Agency (including, but not limited to: independent photographers/videographers, external chat managers, other management agencies, alternative platforms, or any person or entity not previously approved in writing by Dedalo Agency).

b) Dedalo Agency assumes no responsibility for the legality, originality, truthfulness, or adequacy of the creator/model's content. The creator/model is solely and exclusively responsible for all content they create, publish, distribute, and manage.

c) The creator/model declares that they understand that working with third parties without prior written authorization from Dedalo Agency constitutes a material breach of this agreement, which could result in immediate termination of services without refund of fees paid and without any right to compensation.

d) Dedalo Agency strongly recommends that all external collaborations be reviewed and approved by the Agency before execution to mitigate risks.

9. Disclaimer for Platform Actions Dedalo Agency is an independent management services provider and is not affiliated with, sponsored by, or contracted by OnlyFans LLC, Fansly, or any other content platform. We have no influence over the operational, policy, or enforcement decisions of these platforms.

Any action taken by OnlyFans, Fansly, or another platform regarding the creator/model's account (including but not limited to warnings, suspensions, terminations, fund withholding, or additional verification requests) is solely the responsibility of the platform and is beyond our control. Dedalo Agency shall not be liable for economic losses, reputational damage, or any consequence arising from actions unilaterally taken by third-party platforms.

10. Indemnification Clause The creator/model agrees to indemnify, defend, and hold harmless Dedalo Agency, its partners, directors, employees, agents, and representatives from any claim, demand, action, loss, liability, damage, cost, and expense (including reasonable legal fees) arising from or related to: - Content created, published, or distributed by the creator/model. - The actions, conduct, or decisions of the creator/model made outside the scope of services managed by Dedalo Agency. - Breach of these Terms of Service or the individual service agreement. - Infringement of third-party rights (including intellectual property rights, image rights, or privacy rights). - Any violation of applicable laws or regulations by the creator/model.

11. Modifications Dedalo Agency reserves the right to modify these Terms of Service at any time. Modifications will take effect upon publication on this website.
